Welcome to Strayl Cloud ("Strayl Cloud", "we", "us", or "our"). These Terms govern your access to and use of the Strayl Cloud Memory-as-a-Service platform, APIs, and related services (collectively, the "Service"). By creating an account or using the Service you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use Strayl Cloud.
1. Eligibility & Accounts
- You must be at least 13 years old (or the age of digital consent in your jurisdiction).
- You agree to provide accurate registration details and keep your API keys confidential.
- You are responsible for activity under your account. Notify us immediately of unauthorized use.
- We reserve the right to refuse, suspend, or terminate accounts for violations of these Terms.
2. Service Overview
- Strayl Cloud provides persistent memory storage, hybrid search capabilities, and secure data management for AI agents.
- Our service includes exact matching and semantic retrieval through vector embeddings and traditional search.
- Features include API access, dashboard management, usage analytics, and automated scaling based on your needs.
3. Memory Data & AI Agent Integration
- You authorize Strayl Cloud to store, index, and process memory data for your AI agents through our APIs.
- Memory entries are processed to generate embeddings and enable hybrid search functionality.
- You are solely responsible for the content and accuracy of memory data you store in our service.
- You may delete memory entries or entire datasets at any time through our API or dashboard.
4. API Usage & Rate Limits
- API usage is subject to rate limits and quotas based on your subscription tier.
- We monitor API calls, response times, and usage patterns to ensure service quality and prevent abuse.
- We may throttle or suspend API access if you exceed limits, misuse the service, or attempt to bypass quotas.
5. Data Security & Privacy
- All data transmission uses TLS encryption; API calls are protected with authentication tokens.
- Memory data is encrypted at rest using industry-standard encryption algorithms.
- You are responsible for securing your API keys and ensuring proper access controls for your AI agents.
6. Third-Party Services
You authorize Strayl Cloud to share data with service providers to deliver requested features:
- Supabase (authentication, database, storage, Edge Functions).
- OpenAI (embeddings generation and semantic search).
- Payment processors (subscription billing and transaction processing).
- Cloud infrastructure providers (hosting, CDN, and data processing).
- Analytics services (usage monitoring and performance optimization).
Third-party terms govern your use of those services. You are responsible for maintaining compliant accounts with each provider.
7. Subscriptions & Billing
- Paid plans are billed based on usage (pay-as-you-go) or monthly subscriptions. Prices may change with notice.
- Usage is tracked in real-time and billed according to your subscription tier and actual consumption.
- We log API calls, storage usage, and compute costs to enforce subscription limits and provide accurate billing.
- Failure to pay or repeated payment disputes may lead to suspension of service access.
8. User Responsibilities & Acceptable Use
- Do not use Strayl Cloud to violate laws, intellectual property rights, or platform policies.
- Do not attempt to bypass usage limits, probe or attack infrastructure, or store malicious content.
- You must ensure that memory data stored in our service complies with applicable laws and regulations.
- You are responsible for the accuracy and appropriateness of memory data used by your AI agents.
9. Data Processing & AI Integration
- Memory data may be processed to generate embeddings, improve search algorithms, and optimize service performance.
- We may use aggregated, anonymized data for service improvement and research purposes.
- You retain ownership of your memory data; we do not claim any rights to your content.
10. Suspension & Termination
- We may suspend or terminate access for violations, security threats, non-payment, or legal obligations.
- You may cancel your account at any time via the dashboard or by emailing us; we will delete your data as explained in the Privacy Policy.
- Sections relating to intellectual property, disclaimers, indemnity, and limitations of liability survive termination.
11. Disclaimers & Limitation of Liability
- The Service is provided "as is". We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not guarantee uninterrupted service, data preservation, or accuracy of search results.
- To the fullest extent permitted by law, Strayl Cloud is not liable for indirect, incidental, special, consequential, or punitive damages.
- Our aggregate liability is limited to the fees you paid for Strayl Cloud in the twelve months before the claim.
12. Indemnity
You agree to indemnify and hold Strayl Cloud, its founders, and partners harmless from claims, damages, liabilities, and expenses (including reasonable attorney fees) arising from your use of the Service, your memory data, your violation of these Terms, or your infringement of any third-party right.
13. Governing Law & Disputes
These Terms are governed by the laws of the jurisdiction where Strayl Cloud is incorporated, without regard to conflict of law principles. Disputes will be resolved in the competent courts of that jurisdiction unless local law requires otherwise.
14. Changes to These Terms
We may update these Terms to reflect new features, legal requirements, or security practices. We will update the effective date and may provide notice via email or through our service. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
